     March, we submitted a proposal to the Southern Minnesota Municipal Pow=
er
     Association (SMMPA) under their <span style=3D'color:black'>Minnesota
     Renewable Energy Objective (REO)</span> projects.<span
     style=3D'mso-spacerun:yes'>&nbsp; </span>When we were writing this pro=
posal,
     we were considering having an equity partner in the project who could =
take
     advantage of the federal production tax credits (PTC) and accelerated
     depreciation on the turbines.<span style=3D'mso-spacerun:yes'>&nbsp;
     </span>However, we still felt that we should receive a fair price for =
the
     electricity and thus proposed selling the electricity to SMMPA at a pr=
ice
     equal to the consumption price charged by the City of <st1:City w:st=
=3D"on"><st1:place
      w:st=3D"on">St. Peter</st1:place></st1:City>.<span
     style=3D'mso-spacerun:yes'>&nbsp; </span>Perhaps our price was too hig=
h (it
     was slightly higher than CBED guidelines) or there was a misunderstand=
ing
     about the pricing scheme (SMMPA might have assumed that we would simpl=
y be
     consuming the electricity).<span style=3D'mso-spacerun:yes'>&nbsp; </s=
pan>In
     any event, we were not on the short list for further discussion.</li>
</ul>

<p class=3DMsoNormal style=3D'margin-left:.25in'><o:p>&nbsp;</o:p></p>

     April, we had a conference call with a representative of John Deere and
     Company concerning their potential involvement in our project.<span
     style=3D'mso-spacerun:yes'>&nbsp; </span>We felt that we should explore
     Deere and Company as a potential equity investor and possibly as a sou=
rce
     of turbines.<span style=3D'mso-spacerun:yes'>&nbsp; </span>Although th=
ey did
     have contracts for some wind turbines, none were for models that would
     suit the wind climate in St. Peter (we would suffer a serious reductio=
n in
     capacity factor).<span style=3D'mso-spacerun:yes'>&nbsp; </span>In add=
ition,
     it became clear to the members of the committee that Deere and Company
     would be making substantial profits on many aspects of the project,
     including turbine sales and interest from financing, as well as the PT=
Cs
     and depreciation.<span style=3D'mso-spacerun:yes'>&nbsp; </span>Althou=
gh we
     felt that we learned a great deal in the discussion, we chose not to
     pursue a partnership further.</li>
</ul>

<p class=3DMsoNormal><o:p>&nbsp;</o:p></p>

     continue to explore the role of an equity investor (or more than one) =
in
     our project. Jeff Jeremiason, Brenda Moore, and President Peterson met
     with Tom Hirsch in May, to discuss equity investors.&nbsp; Tom had some
     great suggestions for fund raising strategies and asked some great
     questions about the LLC structure and the depreciation schedule for the
     turbines.&nbsp; We are in consultation with Kevin Walli (our attorney)=
 on
     these questions and plan to continue discussions with Tom and Brenda.<=
/li>
</ul>

<p class=3DMsoNormal><o:p>&nbsp;</o:p></p>

     have signed a non disclosure agreement with Clipper Wind (<st1:place
     w:st=3D"on"><st1:City w:st=3D"on">Cedar Rapids</st1:City>, <st1:State =
w:st=3D"on">Iowa</st1:State></st1:place>)
     and have entered into more serious discussions with their salesperson,=
 Tom
     Feiler.&nbsp; <span class=3DGramE>Clipper is relatively new to the tur=
bine
     industry, but are</span> putting up a large project near Jeffers and w=
ould
     be anxious to work with an educational institution.&nbsp; It may be
     possible, if the timing works, to piggy-back on the Jeffers installati=
on,
     which may be as early as the end of 2006, but is probably going to be =
in
     2007.&nbsp; Clipper's 2.5 MW Liberty <span class=3DGramE>turbine</span>
     would perform better than a Suzlon S-88 and they guarantee 95%
     availability in the first 5 years of operation, so we are seriously
     considering using their turbines for our project.</li>
</ul>

<p class=3DMsoNormal><o:p>&nbsp;</o:p></p>

     in beginning discussions with the Southern Minnesota Municipal Power
     Association (SMMPA) concerning a power purchase agreement for our exce=
ss
     electricity.<span style=3D'mso-spacerun:yes'>&nbsp; </span>In the even=
t that
     we fail to identify one or more equity investors who could take advant=
age
     of the tax credits and depreciation, we are considering a model where
     Gustavus would use as much of the generated electricity as possible and
     sell the excess to SMMPA or another entity. We are also discussing the=
 interconnection
     process with the City of St. Peter and whether there would be any
     additional tariffs placed on us in the event that we choose this
     model.<span style=3D'mso-spacerun:yes'>&nbsp; </span>We have transmitt=
ed our
     wind turbine production and consumption data to SMMPA and expect to
     receive word from them in the near future concerning pricing for our
     excess electricity.<span style=3D'mso-spacerun:yes'>&nbsp; </span>We s=
hould
     then have all of the information needed to consider the two different
     financial models and various combinations.</li>
